Affiliates Terms of Agreement
General Affiliate Program Enrollment Conditions
To qualify as an Affiliate for Uzumaki Agency Pte. Ltd. (“Affiliate” or “You”), all websites must meet the following requirements:
- Be fully operational; no incomplete or “under construction” sections.
- No direct collaboration with our partners during the initial 3 months after the termination of our relationship.
- Affiliate content must respect personal data and intellectual property rights.
Termination
This Agreement begins upon acceptance and remains effective until terminated. Either party may terminate with two (2) business days’ notice or immediately upon dissolution or insolvency of either party. Uzumaki Agency Pte. Ltd. reserves the right to terminate a campaign and remove any advertisements at any time for any reason.
Online Reporting & Billing
Affiliates have access to reports related to their activities. Monthly reports are preliminary and subject to adjustment until 15 days after the month’s end. Final earnings are determined within 15 days post-month-end, and Uzumaki Agency’s stats are considered final. Approved invoices are automatically generated and sent to the registered billing email.
Representation and Warranties
You represent and warrant that:
- Your media complies with all laws and does not contain or link to libelous, defamatory, violent, prejudicial, obscene, sexually explicit, or illegal content.
- You will maintain a process for reporting and removing infringing content, available on your website.
- You will not promote or link to websites with objectionable or non-permitted content.
- You will not engage in or endorse illegal activities.
- You own or have the legal right to use and distribute all content displayed on your media.
- You will not deceive consumers when marketing Advertiser’s offers.
- You will not alter, conceal, or render the site tags, source codes, links, pixels, or other data from Uzumaki Agency Pte. Ltd. ineffective.
- You will remove and discontinue the use of any Site Data upon instruction or termination of this Agreement.
- Uzumaki Agency Pte. Ltd. does not guarantee the successful outcome or revenue generation of Advertiser programs.
- You are solely responsible for liabilities from fraudulent or non-compliant activities you conduct.
Replacement of Ads
You may not place Uzumaki Agency Pte. Ltd. advertisements on alternative affiliates or websites without written consent. Ads must not be placed on pornographic/offensive, warez, illegal MP3 sites, P2P/Bit-Torrent sites, spyware, or other questionable areas. Non-compliance may result in withheld payments and/or legal action.
Limitation of Liability; Disclaimer of Warranty
Uzumaki Agency Pte. Ltd. is not liable for damages arising from your use of the site, program operation, or display of any program creative on your media. The site and services are provided “as is” with no warranty. Use the site and run programs at your own risk. Uzumaki Agency Pte. Ltd. disclaims all warranties, express or implied.
Indemnity
You shall indemnify, defend, and hold Uzumaki Agency Pte. Ltd. harmless from any claims, liabilities, costs, and expenses (including attorneys’ fees) arising from improper use of services, program operation, or breach of this Agreement.
Assignment and Jurisdiction
Uzumaki Agency Pte. Ltd. may assign this Agreement to a subsidiary or business successor. You may not assign this Agreement without prior written consent.
Severability
If any provision of this Agreement is held invalid, the validity of the remaining provisions shall not be affected.
Force Majeure
Neither party shall be liable for failure or delay in performance due to causes beyond their control, including Acts of God, fires, storms, war, government actions, labor conditions, natural disasters, or internet service interruptions.
Miscellaneous
This Agreement constitutes the entire understanding between the parties and supersedes prior discussions. Each party is an independent contractor. Notices shall be sent to the addresses submitted during sign-up. The latest Terms bind the parties from the date signed or the date service is provided.
*Uzumaki Agency Pte. Ltd. reserves the right to change contract conditions at any time.
Affiliate Earnings & Payments
Affiliate earnings are per the payout rates in the applicable insertion order.
New traffic partners start with Monthly Net30 payment terms until traffic quality is confirmed. Exceptions are made with references from other advertisers. Various payment terms are offered, and payments are released weekly. Payment methods include wire transfers, e-wallets, and crypto-wallets. Minimum thresholds for payment release apply.
